These Terms of Use are the agreement between you and us that governs your use of PerpBrief. They explain what the Service is and is not, how accounts and paid plans work, what you may and may not do, and how responsibility is divided between you and us. Please read them together with our Privacy Policy and our Risk & No-Advice Disclaimer, both of which form part of this agreement.
1. Acceptance of These Terms
By creating an Account, by clicking to accept these Terms where we present them to you, or by accessing or using the Service, you agree to be bound by these Terms, by our Privacy Policy, and by our Risk & No-Advice Disclaimer, each of which is incorporated into these Terms by reference. If you do not agree, do not create an Account and do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it, and "you" includes that organization.
2. Definitions
In these Terms, capitalized words have the following meanings:
- "Service" means the PerpBrief web application available at https://perpbrief.com, together with its features, analytics, alerts, and related communications, in each case as they exist at the time you use them.
- "Content" means everything made available through the Service, including Market Data, the Bias Score, scenario and trigger levels, charts, text, layouts, software, and design.
- "Market Data" means market, positioning, flow, and related data concerning crypto assets and perpetual futures that we obtain from independent third-party data providers and public sources, and any derived or aggregated form of that data displayed in the Service.
- "Bias Score" means the algorithmic composite signal, together with its label and any associated scenario or trigger levels, that the Service computes per asset from Market Data.
- "Account" means the registered account you create to use the Service.
- "Supported Stablecoin" means USDT (Tether USD) or USDC (USD Coin), and any other stablecoin the Service lists as accepted, on a supported network, at the time you send it. The list shown in the Service at the moment of sending is authoritative.
- "Deposit Address" means a blockchain address that we assign to your Account, and that we (not you) control, for the sole purpose of receiving Supported Stablecoin payments toward Prepaid Credit.
- "Prepaid Credit" means the balance credited to your Account in respect of Supported Stablecoins received at your Deposit Address, usable only to pay subscription charges for Paid Plans. Prepaid Credit is denominated in USDT; USDC and any other Supported Stablecoin is credited one-for-one with USDT.
- "Paid Plan" means any paid subscription tier of the Service, where paid plans are offered.
3. Eligibility
To use the Service you must:
- be at least 18 years old;
- have the legal capacity to enter into a binding contract;
- not be located in, organized in, or a resident of any territory subject to comprehensive sanctions or embargoes, and not be a person named on any applicable sanctions or restricted-party list; and
- not be located in, or a resident of, any jurisdiction we have excluded from the Service. Currently excluded jurisdictions: the United States and its territories, Cuba, Iran, North Korea, Syria, Russia, Belarus, Myanmar (Burma), and the Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine.
By creating an Account or using the Service, you represent and warrant that you meet all of these requirements, including that you are not a sanctioned person and are not located in an embargoed territory.
You are responsible for making sure that your use of the Service — including any trading activity you choose to undertake based on your own decisions — is lawful where you live. Perpetual futures and other crypto derivatives are restricted or unlawful in some jurisdictions. We do not represent that the Service, or the activity it describes, is appropriate or lawful in any particular place.
4. Your Account
You must provide accurate and current information when you create an Account and keep it accurate. Accounts are registered with an email address alone: we send a single-use numeric code to that address, and entering it both creates your Account, if you do not already have one, and signs you in. A password is optional and can be set from your account settings afterwards; if you set one, it is stored only as a cryptographic hash by our authentication provider, and we never see it in plaintext. Requests that email you before you are signed in — a sign-in code, a new Account, or a password reset — pass through a human-verification check operated by Cloudflare. It runs whether or not you already have an Account, and it is how we enforce the first clause of Section 8 (no bots, crawlers, scrapers or other automated access) on the endpoints anyone can reach. Our Privacy Policy sections 3.3 and 5 describe what it involves. It fails closed on the flows it covers: if a browser extension blocks it, you will not be able to request a sign-in code or reset your password until you allow it. Signing in with a password you have already set does not use the check. (Added 2026-09-02.)
You are responsible for keeping your credentials confidential and for all activity that occurs under your Account, whether or not you authorized it. Notify us at support@perpbrief.com promptly if you suspect unauthorized access. Accounts are personal to you: you may not share your Account, sell it, or let others use your credentials.
We may suspend an Account as described in Section 12. You can close your Account yourself from Account → Close account, or by emailing privacy@perpbrief.com if you cannot sign in. Closing is reversible for 30 days and permanent after that, and it is subject to the record-retention limits described in our Privacy Policy: if your Account has billing history, we close and anonymize it rather than hard-deleting it, because financial and on-chain transaction records must be retained. Section 17 covers the effect of closing, including Prepaid Credit.
5. License to Use the Service
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and its Content for your personal or internal, non-commercial use. All rights not expressly granted are reserved. The Service and its Content are protected by intellectual-property and other laws; nothing in these Terms transfers any ownership to you.
6. The Service Is Informational Only
The Service is a decision-support analytics tool. It distills observed positioning in crypto perpetual-futures markets into per-asset analytics, the Bias Score, and scenario trigger levels. It does not predict prices and it is not financial advice.
THE SERVICE, THE BIAS SCORE, AND ALL CONTENT ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THEY ARE NOT FINANCIAL, INVESTMENT, TRADING, LEGAL, OR TAX ADVICE, NOT A RECOMMENDATION OR SOLICITATION TO BUY, SELL, OR HOLD ANY ASSET, AND NOT TAILORED TO YOUR CIRCUMSTANCES. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN TRADING AND INVESTMENT DECISIONS.
The Service does not execute trades, route orders, or custody trading assets. It does not connect to, access, or control your wallets or exchange accounts, and it never asks for or stores exchange API keys or wallet private keys. We are not your broker, adviser, or fiduciary. The full description of what the Service is and is not — including the risks of perpetual futures — is set out in our Risk & No-Advice Disclaimer, which forms part of these Terms.
The Bias Score is an algorithmic composite whose weights, thresholds, and methodology are provisional and may be tuned by us at any time. Methodology, scoring, features, tiers, data sources, and any other aspect of the Service may change at any time without notice. No performance track record is claimed, and past or backtested performance never indicates future results.
7. Market Data and Third-Party Sources
Market Data is sourced from independent third-party data providers and public sources and is passed on to you "as is". It may be delayed, incomplete, estimated, or wrong. Analytics that depend on third-party wallet labels cover only the labeled subset of the market, and historical gaps in upstream data cannot be backfilled. Data available on the free tier may be delayed by design.
Upstream providers impose restrictions on their data, and those restrictions pass through to you. You may not scrape, bulk-export, resell, redistribute, or systematically retain Market Data or other Content, and you may not use the Service or its data to build or train a competing dataset, product, or service.
Third-party feeds may change, degrade, or end at any time, and features of the Service that depend on them may change or end with them.
8. Acceptable Use
You agree not to:
- access the Service with bots, crawlers, scrapers, or other automated means, or harvest Content from it;
- impose unreasonable load on the Service or interfere with its operation, security, or other users' use;
- circumvent or attempt to circumvent tier limits, data delays, rate limits, or any access or security control;
- share your Account or credentials, or use anyone else's;
- copy, modify, distribute, or create derivative works from the Service or its Content except as these Terms allow;
- reverse engineer, decompile, or disassemble any part of the Service, except to the extent applicable law gives you a right to do so for interoperability that cannot be excluded by contract; or
- use the Service for any unlawful purpose, in violation of sanctions, or in any way that infringes anyone's rights.
We may investigate suspected violations and take any action we consider appropriate, including suspension or termination under Sections 12 and 17.
9. Tiers and Paid Plans
The Service has a free tier and, where paid plans are offered, a paid tier ("Pro") and an invitation-only tier ("VIP"). The features, data, limits, and any data delay applicable to each tier are as described in the Service at the time of use and may change. VIP access is granted at our sole discretion, is not for sale, may be revoked at any time, and creates no entitlement.
Prices for Paid Plans are displayed in the Service at the time of purchase. Prices are denominated in USDT (Tether USD) and payable in USDT or USDC, each credited one-for-one with USDT. Any USD or other fiat figures shown are indicative only. We make no representation about the value, peg, or stability of USDT, USDC, or any other Supported Stablecoin, and you bear the risk of holding and using them.
10. Payments, Deposit Addresses, and Prepaid Credit
This Section applies where paid plans are offered.
10.1 How payment works
Each Account may be assigned a unique Deposit Address per supported network. We accept USDT and USDC, on Tron (TRC-20) and on Ethereum (ERC-20) — either token on either network. Deposit Addresses are controlled by us, not by you; they exist only to receive your subscription payments. Sending USDT or USDC to your own Deposit Address on a supported network credits Prepaid Credit to your Account after the transaction is sufficiently confirmed on the relevant network.
Crediting times are not guaranteed. Deposits are typically credited within minutes to under an hour, subject to network conditions and our processing schedule.
Per-network minimum deposit amounts apply and are shown in the Service. Deposits below the minimum may not be credited automatically; we may credit them at our discretion on request.
10.2 Sending correctly is your responsibility
Only USDT or USDC, sent on Tron (TRC-20) or Ethereum (ERC-20), to your own Deposit Address, is credited. Anything else — any other cryptocurrency or token, USDT or USDC on an unsupported network, or a transfer to a wrong address — may be permanently and irretrievably lost. Blockchain transactions are irreversible. You bear sole responsibility for selecting the correct token, network, and address before sending. Check the list of accepted tokens shown in the Service at the time you send: it is authoritative, and it may differ from the tokens named here.
In limited cases we may, at our sole discretion and without any obligation, attempt manual recovery of certain mis-sent funds (for example, USDT or USDC sent on another EVM-compatible network). If we attempt a recovery, we may charge a recovery fee of 50 USDT and pass on the network costs involved. Some mis-sends are technically unrecoverable by anyone, and no attempt, successful or not, creates any obligation to attempt recovery in any other case.
10.3 What Prepaid Credit is — and is not
Prepaid Credit is a prepayment for subscription charges only. It is not money, not a deposit account, not interest-bearing, not withdrawable, and not transferable. We are not a bank, money transmitter, exchange, wallet provider, or payment processor, and Prepaid Credit does not make us one.
10.4 No refunds
ALL DEPOSITS AND ALL PREPAID CREDIT ARE NON-REFUNDABLE AND NON-WITHDRAWABLE, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE. BY FUNDING YOUR ACCOUNT YOU ACKNOWLEDGE THAT, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE, YOU WILL NOT BE ABLE TO WITHDRAW OR RECOVER YOUR BALANCE, AND THAT SUBSCRIPTION CHARGES, ONCE DEDUCTED, ARE NOT REFUNDED OR PRORATED.
11. Subscriptions, Renewal, and Cancellation
This Section applies where paid plans are offered.
Activation. A Paid Plan starts only when you explicitly select a plan and a billing period (monthly or yearly, calendar-based). The charge for the period is deducted from your Prepaid Credit when your balance covers the displayed price.
Auto-renewal. Paid Plans renew automatically at the end of each billing period by deduction of the then-current price from your Prepaid Credit.
Insufficient balance and grace. If your balance does not cover a renewal, we notify you beforehand with low-balance warnings, and a short grace period — currently three days, and subject to change — retains your access. If the renewal remains unfunded at the end of the grace period, your plan lapses to the free tier. Any remaining balance stays on your Account (and remains non-refundable), and a later top-up can re-activate a Paid Plan.
Cancellation. You can cancel a Paid Plan at any time. Cancelling stops auto-renewal; your paid period runs to its scheduled end, with no refund and no prorating, and any remaining balance stays on your Account.
Cancelling a plan is not the same as closing your Account. Cancelling leaves your Account open and your balance on it. Closing your Account ends your access immediately and forfeits any remaining Prepaid Credit, which is neither refunded nor withdrawable — see Section 17 and the Privacy Policy section 9. If you only want to stop paying, cancel the plan; do not close the Account.
Switching periods. A switch between monthly and yearly billing takes effect at your next renewal.
Price changes. Price changes apply from the next renewal after the new price is displayed in the Service. A price change never alters the price of a period already charged.
Taxes and fees. You are responsible for your own taxes arising from your use of the Service, and for any blockchain network or transaction fees you incur when sending payments.
Billing notices. Renewal, low-balance, and grace-period notices are transactional service messages. You cannot opt out of them while your Account holds a Paid Plan or a Prepaid Credit balance.
12. Suspension
We may suspend your Account where we reasonably believe it is necessary — for example, for suspected breach of these Terms, suspected fraud or unlawful activity, sanctions compliance, or security reasons. Suspension blocks login and access to the Service, and blocks new Deposit Address requests and plan changes. Deposits that still arrive at an already-assigned Deposit Address during suspension are credited to your balance, which remains subject to Section 10.4.
13. Alerts and Communications
The Service can send optional market alerts via a Telegram bot, if you link one. Telegram is the only channel market alerts are delivered on. Linking Telegram stores your Telegram chat ID and username, as described in our Privacy Policy; you can pause or unlink Telegram alerts at any time.
Service and billing notices — renewal, low balance, grace period and security notices — are separate from market alerts. They are sent by email because they concern your account rather than the market, and they are not optional while your account is open.
Alerts are provided on a best-effort basis. They may be delayed, deduplicated, throttled, or missed entirely. Never rely on alerts to manage positions or risk. Alerts are a convenience feature, not a monitoring or risk-management tool.
14. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
We do not warrant that the Service will be uninterrupted, error-free, or secure. Software is never wholly free of defects or vulnerabilities. Maintenance, testing, and changes may interrupt, degrade, or restrict the Service at any time.
Our Risk & No-Advice Disclaimer sets out, in full, the informational nature of the Service, the limitations of the Bias Score and Market Data, and the risks of trading perpetual futures. It is incorporated into these Terms by reference and applies to everything you do with the Service.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. WITHOUT LIMITING THE FOREGOING, WE WILL NOT BE LIABLE FOR:
- TRADING LOSSES OF ANY KIND, HOWEVER CAUSED;
- LOSSES ARISING FROM INACCURATE, INCOMPLETE, ESTIMATED, OR DELAYED DATA OR SIGNALS, INCLUDING THE BIAS SCORE;
- MISSED, DELAYED, OR DUPLICATED ALERTS;
- CRYPTOCURRENCY SENT TO A WRONG ADDRESS, ON A WRONG NETWORK, OR IN A WRONG TOKEN;
- FAILURES, CHANGES, OR TERMINATION OF UPSTREAM DATA PROVIDERS OR OTHER THIRD-PARTY SERVICES; OR
- BLOCKCHAIN NETWORK EVENTS, INCLUDING CONGESTION, FORKS, REORGANIZATIONS, OR OUTAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS CAPPED AT THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) 100 USD.
Nothing in these Terms excludes or limits liability for fraud or willful misconduct, or any liability that cannot be excluded or limited under applicable law. Where a jurisdiction does not allow a particular exclusion or limitation, it applies only to the extent permitted there.
16. Indemnification
You agree to indemnify us against third-party claims, and the reasonable costs (including reasonable legal fees) of defending them, to the extent they arise from your breach of these Terms, your misuse of the Service, or your unlawful activity in connection with the Service. Your obligation is proportionate to your responsibility for the claim, and we will notify you of any claim for which we seek indemnity and allow you a reasonable opportunity to participate in its defense.
17. Term and Termination
By you. You may stop using the Service at any time, and cancel any Paid Plan as described in Section 11. You may close your Account yourself from Account → Close account, or ask us to close it by emailing privacy@perpbrief.com — use the email route if you cannot sign in. Closing ends your access immediately and forfeits any remaining Prepaid Credit; for 30 days the closure is fully reversible, and after that it is permanent. What is deleted and what is retained is described in the Privacy Policy section 9.
By us. We may terminate your Account for cause with immediate effect — including material breach of these Terms, fraud, unlawful activity, or a sanctions or legal requirement — or otherwise on reasonable notice to you.
Effect of termination. On termination, your license under Section 5 ends and your access to the Service stops. Nothing already paid is refunded, and any remaining Prepaid Credit remains non-refundable and non-withdrawable, except where applicable law requires otherwise. Sections that by their nature should survive do survive, including Sections 2, 5 (as to reservations of rights), 6, 7, 10.3, 10.4, 14, 15, 16, 17, and 19.
18. Changes to the Service and to These Terms
Changes to the Service. The Service is under active development. We may change, add, remove, or discontinue any feature, tier, data source, methodology, or other aspect of the Service at any time without notice.
Changes to these Terms. We may revise these Terms. For material changes, we will give at least 30 days' advance notice through the Service or by email before the revised Terms take effect. Continued use of the Service after the effective date of a revision means you accept it. Each version of these Terms carries its own effective date at the top; if you do not accept a revision, stop using the Service before it takes effect.
19. Governing Law and Disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of the Cayman Islands. You and we submit to the exclusive jurisdiction of the courts of the Cayman Islands for all such disputes.
If you are a consumer, nothing in this Section or elsewhere in these Terms deprives you of any protection that the mandatory, non-waivable law of your home jurisdiction grants you.
20. General
Entire agreement. These Terms, together with our Privacy Policy and our Risk & No-Advice Disclaimer, are the entire agreement between you and us about the Service and replace any prior understandings.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision is enforced to the maximum extent permitted and the rest remains in full effect.
Assignment. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our consent, which we will not unreasonably withhold.
No waiver. Our not enforcing a provision is not a waiver of it or of anything else.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, civil unrest, labor disputes, government action, power or internet failures, failures of third-party APIs or data feeds, and blockchain network disruptions.
